Terms of service
The agreement between you, the merchant installing CheckoutStack, and us.
1. Who this is between
These terms are an agreement between Digiforte Technologies, based in Saskatchewan, Canada (“we”, “us”), and the person or business that installs the CheckoutStack app on a Shopify store (“you”). Installing the app means you accept these terms. If you are installing on behalf of a company, you confirm you have the authority to accept them for that company.
CheckoutStack is an independent app. It is not made by, endorsed by or affiliated with Shopify Inc. Your use of Shopify is governed separately by your agreement with Shopify.
2. What the service is
CheckoutStack lets you add banners, review blocks, trust lists and images to your Shopify checkout and thank-you page, target them with display rules, and on paid plans, A/B test them and see per-block analytics.
A platform limit you should know about before paying. Shopify restricts checkout UI extensions on the information, shipping and payment steps to Shopify Plus stores. That restriction is imposed by Shopify, applies to every app of this kind, and is outside our control. Thank-you page blocks are not restricted and work on every Shopify plan. The app tells you which of these applies to your store before you subscribe.
3. Your account and your store
You are responsible for keeping your Shopify account secure and for what anyone with access to it does in the app. You must have the right to install apps on the store you install us on.
4. Plans, billing and refunds
Plans
The Free plan allows one live block at a time and does not expire. The Pro plan costs $25 USD per month, or $240 USD per year, and adds unlimited live blocks, A/B testing and per-block analytics. Pro includes a 14-day free trial.
How billing works
All charges run through Shopify’s billing system and appear on your Shopify invoice. We never see or store your payment details. Subscriptions renew automatically at the end of each billing period until cancelled. Prices are in US dollars and exclude any tax Shopify applies.
Cancelling
Cancel at any time by uninstalling the app or changing your plan in the Shopify admin. Cancellation takes effect at the end of the current billing period, and you keep Pro features until then. Your block configurations are not deleted when you downgrade: the Free plan keeps one block live and you choose which one.
Refunds
We do not automatically refund partial billing periods. If the app did not work as described, if you were charged after cancelling, or if you were billed for a plan whose main features Shopify’s platform limits prevented you from using, write to support@checkoutstack.app within 30 days of the charge and we will refund it. Refunds are issued through Shopify.
Price changes
If we change the price of a plan you are on, we will give you at least 30 days notice by email. Shopify will also ask you to approve the new charge before it takes effect, so a price change can never be applied silently.
5. Your content
The copy, reviews, trust items and images you enter stay yours. You give us the licence we need to store, display and publish them to your own store so the product can work. You are responsible for that content, and by using the app you confirm that:
- you have the right to use it, including any image you upload and any review you publish;
- claims you make in checkout copy are truthful and comply with the consumer protection and advertising law that applies to you;
- review content you display is genuine. Publishing fabricated reviews or invented ratings through CheckoutStack is not permitted, and in many places it is also illegal;
- countdown timers and scarcity claims reflect something real. Do not use a timer to imply a deadline that does not exist.
6. Acceptable use
You agree not to:
- use the app to display content that is unlawful, deceptive, harassing, or that infringes someone else’s rights;
- attempt to interfere with, overload, reverse engineer or gain unauthorised access to the service or another merchant’s data;
- use the app to collect personal data from buyers in a way you have not disclosed to them;
- resell or white-label the service without our written agreement.
We may suspend or terminate access for a serious or repeated breach of this section. Where the circumstances allow it, we will tell you first and give you a chance to fix the problem.
7. Availability
We do not promise a specific uptime figure. The app is built so that published blocks render from a Shopify metafield and do not call our servers, which means an outage on our side does not stop blocks appearing in your checkout. It does mean you may be temporarily unable to edit blocks or view analytics.
We may change or discontinue features. If we remove a feature that is material to a paid plan, we will give at least 30 days notice by email and you may cancel and request a prorated refund for the unused period.
8. Data
Our handling of personal data is described in the privacy policy, which forms part of these terms. Where we process data on your behalf, you are the controller and we are the processor.
9. Warranties
The service is provided “as is”. To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
We make no promise about commercial results. Nothing in the app or on our website should be read as a guarantee that adding a block will increase conversion, order value or revenue. A/B testing measures what happened on your store during a test; it is not a promise about what will happen next.
10. Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, lost revenue or lost data, arising out of these terms.
Our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim arose, or $100 USD if you paid us nothing.
Nothing here limits liability that cannot be limited by law, including liability for fraud, or for death or personal injury caused by negligence.
11. Indemnity
You will indemnify us against third-party claims arising from the content you publish through the app or from your breach of these terms, provided we notify you promptly and let you control the defence of the claim.
12. Termination
You may stop using the service at any time by uninstalling the app. We may terminate this agreement on 30 days notice, or immediately for a serious breach of section 6. On uninstall, your session and access token are deleted immediately, and your configuration and analytics are deleted when Shopify sends the shop redaction request, which is 48 hours later.
13. Changes to these terms
We may update these terms. Material changes will be announced by email to installed merchants at least 30 days before they take effect, and the date at the top of this page will change. Continuing to use the app after that means you accept the new terms.
14. Governing law
These terms are governed by the laws of the Province of Saskatchewan and the federal laws of Canada that apply there, and the courts of Saskatchewan have exclusive jurisdiction. If you are a consumer in a jurisdiction whose law gives you the right to bring proceedings locally, this clause does not take that right away.
15. General
These terms and the privacy policy are the entire agreement between us about the service. If a provision is found unenforceable, the rest stays in force. Not enforcing a right immediately does not waive it. You may not assign this agreement without our consent; we may assign it as part of a merger or sale of the business.
